1. INTRODUCTION AND ACCEPTANCE OF TERMS
   This document constitutes an electronic record in terms of the Information Technology Act, 2000, and rules framed thereunder, as applicable and amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signatures.

   These Terms and Conditions (“Terms”) govern the access and use of the website www.truenorthrealtypartners.com (the “Platform”) operated by True North Realty Advisors (“True North”, “Firm”, “we”, “us”, or “our”), having its registered office at LG 18, Avior Corporate Park, LBS Rd, Mulund West, Mumbai 400080.

   By accessing, browsing, or using the Platform, or by availing of our advisory services, the user (“User”, “you”, or “your”) acknowledges that they have read, understood, and unequivocally agreed to be bound by these Terms, read conjunctively with our Privacy Policy. If you do not agree to these Terms, you must strictly cease the use of the Platform immediately.

2. NATURE OF SERVICES & BUSINESS MODEL
   2.1. Real Estate Advisory: True North operates as a specialized real estate advisory and authorized channel partner for select real estate developers (“Principal Developers”) in the Mulund and Thane micro-markets.

   2.2. Zero Brokerage Guarantee: We provide advisory, curation, and negotiation services (the “GUIDE” framework) to prospective buyers. True North does not charge any brokerage, commission, or fee to the User/Buyer. Our professional fees are remunerated exclusively by the Principal Developers upon the successful execution of an underlying transaction.

   2.3. No Agency with Buyer: Nothing in these Terms shall be construed as creating a principal-agent relationship, fiduciary duty, or joint venture between True North and the User. Our contractual agency lies strictly with the Principal Developers.

3. MAHARERA COMPLIANCE AND REGULATORY DISCLOSURE
   3.1. Registration: True North is a registered Real Estate Agent under the Real Estate (Regulation and Development) Act, 2016 (“RERA”) with MahaRERA Registration No. A041182603410.

   3.2. Developer Information: All information regarding real estate projects listed on the Platform—including but not limited to brochures, project layouts, floor plans, carpet areas, amenities, approvals, and completion timelines—is third-party content provided directly by the respective Principal Developers.

   3.3. Independent Verification: While we exercise preliminary due diligence before curating projects, True North does not guarantee the veracity, completeness, or absolute accuracy of developer-provided data. Users are strictly advised to independently verify all project details, including the RERA registration status, encumbrances, and approved building plans on the official MahaRERA website (maharera.mahaonline.gov.in) prior to making any financial commitment or executing an Agreement for Sale.

4. USER OBLIGATIONS AND COVENANTS
   By utilizing the Platform, the User covenants that: Capacity to Contract: The User is at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.

   Accuracy of Information: All information provided by the User (including contact details, financial capability, and NRI status) for booking site visits or consultations is true, accurate, and current.

   Prohibited Conduct: The User shall not use the Platform for any unlawful purpose, nor shall they deploy data scraping, web crawlers, or any automated extraction tools to harvest property listings or proprietary methodologies from the Platform.

5. EXPLICIT CONSENT FOR COMMUNICATION (DND OVERRIDE)
   By submitting your contact details (via the “Book a Site Visit”, “Contact Us”, or WhatsApp modules) on the Platform, you hereby explicitly authorize True North, its founders, advisors, and authorized developer representatives to contact you via phone calls, SMS, WhatsApp, and emails.

   This authorization shall unconditionally override any registration under the National Do Not Call (NDNC) Registry or any ‘Do Not Disturb’ (DND) directives of the Telecom Regulatory Authority of India (TRAI).

6. INTELLECTUAL PROPERTY RIGHTS (IPR)
   6.1. True North IPR: The Platform’s design, underlying source code, text, graphics, proprietary methodologies (including the “GUIDE” framework), and the True North logo are the exclusive intellectual property of True North Realty Advisors and are protected under the Indian Copyright Act, 1957, and the Trade Marks Act, 1999.

   6.2. Third-Party Trademarks: Logos, trademarks, and branding of developers (e.g., Piramal, Prestige, Dosti, Adani) displayed on the Platform are the absolute property of their respective owners. True North uses these strictly in its capacity as an authorized channel partner for descriptive and promotional purposes.

7. DISCLAIMERS AND LIMITATION OF LIABILITY
   7.1. “As Is” Basis: The Platform and its contents are provided on an “as is” and “as available” basis without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

   7.2. No Financial Guarantee: Any estimates related to property appreciation, return on investment (ROI), or rental yields are purely speculative and indicative. Real estate is subject to market risks, and True North assumes no liability for any financial losses incurred by the User.

   7.3. Exoneration from Developer Defaults: True North is purely an intermediary advisory. We shall not be held liable, vicariously or otherwise, for any defaults, construction delays, title disputes, RERA violations, or breaches of contract committed by the Principal Developer. Any legal recourse or consumer dispute regarding a property defect or delay shall be exclusively directed by the User against the respective Developer.

   7.4. Limitation Cap: To the maximum extent permitted by law, True North, its founders, and employees shall not be liable for any indirect, incidental, consequential, or punitive damages. In any event, our total liability shall not exceed INR 1,000 (Indian Rupees One Thousand).

8. INDEMNIFICATION
   The User agrees to indemnify, defend, and hold harmless True North, its founders, partners, employees, and affiliates from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from:

   The User’s breach of these Terms.

   Any misrepresentation or fraud committed by the User.

   The User’s violation of any applicable law or third-party rights.

9. MODIFICATION OF TERMS
   True North reserves the unencumbered right to amend, modify, or update these Terms at any time without prior notice. The updated Terms will be effective immediately upon posting on the Platform. The User’s continued use of the Platform signifies acceptance of the amended Terms.

10. GOVERNING LAW AND DISPUTE RESOLUTION
    10.1. Governing Law: These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of India.

    10.2. Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach thereof, shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be Thane/Mumbai, Maharashtra. The language of arbitration shall be English.

    10.3. Jurisdiction: Subject to the arbitration clause above, the competent courts at Thane and Mumbai shall have exclusive jurisdiction over any matters arising from these Terms.

11. SEVERABILITY AND WAIVER
    If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect. No failure or delay by True North in exercising any right or remedy shall constitute a waiver of that right.
